Terms and Conditions

These Terms and Conditions of Service ("Terms") govern your access to and use of the services provided by Sendillo LLC ("Sendillo," "we," "us," or "our"), including all messaging, voice, communication, software, API, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, or otherwise engaging with Sendillo, you ("Customer," "you," or "your") agree to be legally bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & Authority

By using the Services, you represent and warrant that:

• You are at least 18 years old and legally able to enter into a binding contract.
• If you are accepting these Terms on behalf of an entity, you have full authority to bind that entity.
• All information you provide to Sendillo is accurate, complete, and current.

2. Services

Sendillo provides communication and messaging-related services, which may include SMS, MMS, voice, campaign management, APIs, and related tools.

We may modify, suspend, or discontinue any portion of the Services at any time without liability. Features, functionality, and availability are not guaranteed and may change.

3. Account Registration & Security

You are responsible for:

• Maintaining the confidentiality of your login credentials, API keys, and access tokens
• All activity that occurs under your account
• Immediately notifying Sendillo of any unauthorized access or suspected security breach

Sendillo is not responsible for losses resulting from compromised credentials or unauthorized account use.

4. Compliance With Laws & Messaging Consent

4.1 Legal Compliance

You agree to use the Services in compliance with all applicable laws and regulations, including but not limited to:

• Telephone Consumer Protection Act (TCPA)
• CAN-SPAM Act
• FTC and FCC regulations
• State consumer protection laws
• Carrier, network, and industry rules

4.2 Consent Requirement

You must obtain and maintain valid prior express consent (and where required, prior express written consent) from all recipients before sending messages or placing calls using Sendillo.

You are solely responsible for maintaining proof of consent and producing it upon request.

5. Prohibited Use

You may not use the Services to:

• Send unsolicited, deceptive, or illegal communications
• Engage in spam, phishing, smishing, snowshoeing, or fraud
• Transmit content that is unlawful, abusive, defamatory, or misleading
• Violate privacy, publicity, or intellectual property rights
• Transmit prohibited or high-risk content, including but not limited to:
  • Illegal substances
  • Fraudulent financial schemes
  • Deceptive marketing
  • Unauthorized lead selling or data sharing
• Attempt to bypass carrier rules, filters, or compliance systems

Sendillo reserves the right to suspend or terminate services immediately for violations.

6. Opt-Out Handling

You are solely responsible for:

• Honoring opt-out requests immediately
• Recognizing standard opt-out keywords such as STOP, END, QUIT, UNSUBSCRIBE
• Ceasing further communication once a recipient opts out

Sendillo acts solely as a delivery conduit and does not manage opt-out compliance on your behalf.

7. Fees, Billing & Payments

• All fees are prepaid unless otherwise agreed in writing
• Fees are non-refundable except where required by law
• You are responsible for all carrier fees, pass-through charges, taxes, fines, or penalties resulting from your use of the Services
• Sendillo may suspend or terminate services for non-payment or negative account balances
• Disputes must be submitted in writing within 30 days of the charge

8. Suspension & Termination

Sendillo may suspend or terminate your account immediately if:

• You violate these Terms
• You fail to pay fees when due
• Your use poses legal, financial, or reputational risk
• Required compliance information is not provided

Upon termination:

• All outstanding balances remain due
• Your right to use the Services ceases immediately
• Phone numbers, campaigns, or configurations may be released or reassigned

9. Intellectual Property

All Sendillo technology, software, documentation, trademarks, and related materials are the exclusive property of Sendillo LLC.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Services during the term of your agreement. No ownership rights are granted.

10. Confidentiality

Each party agrees to protect the other party's confidential information and use it solely for purposes related to the Services.

Confidentiality obligations survive termination for three (3) years.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available."

Sendillo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted service, message delivery, or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law:

• Sendillo shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Total liability shall not exceed the amount paid by you to Sendillo in the 30 days preceding the claim

13. Indemnification

You agree to indemnify, defend, and hold harmless Sendillo LLC and its officers, employees, and affiliates from any claims, damages, penalties, or costs (including attorneys' fees) arising from:

• Your use of the Services
• Violations of law or carrier rules
• Messaging content or consent failures
• Claims by recipients or regulators

14. Force Majeure

Sendillo is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, carrier outages, cyberattacks, or governmental actions.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association. Arbitration shall occur in Wyoming.

You waive the right to participate in class or representative actions.

16. Changes to These Terms

Sendillo may update these Terms at any time. Continued use of the Services after changes constitutes acceptance.
